Filing of Confirmation Statement

The law requires every company, including dormant and non-trading companies, to file a confirmation statement at least once every year, to confirm if the information that Companies House holds about the company is up to date. You must file a statement at least once a year, but you may choose to file more often.

Issue/transfer of shares

The issue of shares is the process by which companies create new shares to pass onto shareholders, who may themselves be new or existing shareholders. Companies can issue shares to both individuals and corporate bodies. A share transfer is the process of transferring existing shares from one person to another either by sale or gift.

Dormant Company Accounts filing

Every company must file accounts with Companies House each year whether it has traded or not. If a company is dormant, it must file dormant accounts, a confirmation statement and let HMRC know that it is dormant, and a corporation tax return will not be due. A company which has traded even for a short time, is regarded as active in the eyes of Companies House and will need to file a full set of accounts for the financial year.

Company Dissolution

Company dissolution means dissolving a company, or 'striking off' a company. It means the company will be closed down by removing its name from the official register held at Companies House. As a company is considered to be a legal person, once the name is removed from the register, the company no longer legally exists. If there are no objections, the company will be struck off the register once the 2 months mentioned in the notice has passed.

Company Name Change

After incorporating your company, you can change your company name either by a special resolution or by permission given in the company's articles of association. We provide a service whereby we can help you change the name of your limited company by preparing the required documentation for a change of name, which you will need to sign before submission to Companies House. Once approved, Companies House will issue your company with a change of name certificate (usually within 48 hours), which states that the new name has been adopted and serves as the official recognition that the request was in order and has been approved.

Director Appointment and Resignation

If you have someone new joining your board, you need to let Companies House know. You would have appointed one or more directors at the time of incorporation, but sometimes you need to add more; for example, someone new joining you as a business partner. There are cases where you may need to remove a director from your company records, for instance, when they have resigned voluntarily, a bankruptcy order is made against the director, the director is deemed physically incapable of remaining in office, removal by court order, removal by resolution or where the director is removed under the Articles of Association.

VAT Registration

In the UK, all companies with a turnover of more than £85,000 are required to register for VAT. However, any company can voluntarily register for VAT even if their turnover is less than the £85,000 VAT threshold. Our VAT registration service includes preparing and submitting your VAT registration application to HMRC, after which we will email you your confirmation and confirmation VAT Registration when HMRC responds.

Certificate of Good Standing

A Certificate of Good Standing is confirmation of a company's status from Companies House, which proves that it has filed and continued to file all appropriate documents and has paid all fees which are due for its registration. This certificate may be required if you wish to open a company bank account or to register your company in another country as a foreign corporation. If you need your certificate to be apostilled, you can order this together with our apostilling service.

Nominee Shareholder Service

We offer nominee shareholder services, whereby we can appoint an individual/company to act as a shareholder on your behalf, normally to keep your ownership of shares confidential. This can be purchased as part of an incorporation package by selecting "Nominee Shareholder" as an additional service during the order process.

Apostilling of documents

This may be required by non-UK resident company owners wishing to use their company registration certificate to open bank accounts in their own country. The fee charged for apostilling is per document, as an apostille is attached to each document separately. Therefore, if for example you require 4 documents to be apostilled, you will be charged for 4 separate apostilles.
